These Terms of Service ("Terms") govern your access to and use of the Venture Sessions iOS application, website, and related services (collectively, the "Platform"). The Platform is operated by Venture Sessions Incorporated ("Venture Sessions," "we," "us," or "our").

Please read these Terms carefully. By creating an account, accessing the Platform, or using any Venture Sessions service, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 13 years old to use the Platform. If you are under the age of majority where you live, you may use the Platform only with the consent and supervision of a parent or legal guardian.

Some features, including hosting sessions, listing equipment, arranging paid activities, or entering into transactions with other users, may require you to be at least 18 years old and legally able to enter into a binding agreement.

2. Accounts and Profiles

You may need to create an account to use certain features. You agree to provide accurate information, keep your profile current, and maintain the security of your account credentials.

You are responsible for activity that occurs through your account. If you believe your account has been accessed without permission, contact us promptly.

3. What Venture Sessions Does

Venture Sessions is a technology platform for the surf community. The Platform helps surfers, coaches, guides, businesses, and board owners discover each other, share surf-related content, list sessions or equipment, make inquiries, and coordinate directly.

Venture Sessions does not provide surf instruction, guiding services, water safety services, board rental services, transportation, insurance, or physical activities. Unless expressly stated otherwise, Venture Sessions is not a party to any session, lesson, board transaction, rental, sale, meetup, or other arrangement between users.

4. Coaches, Businesses, and Independent Providers

Coaches, guides, instructors, businesses, and other providers who use the Platform are independent from Venture Sessions. They are not employees, agents, partners, or representatives of Venture Sessions.

Providers are responsible for the services they offer, the accuracy of their listings, their qualifications, permits, insurance, safety practices, pricing, cancellation policies, and compliance with applicable laws.

Venture Sessions may provide profile, rating, review, or listing tools, but we do not guarantee the quality, safety, legality, credentials, availability, or conduct of any provider or user.

5. Sessions, Reservations, and Payments

The Platform currently facilitates session discovery, reservation requests, inquiries, and contact between users. Venture Sessions does not currently process payments in the App.

Any payment, refund, cancellation, rescheduling, waiver, or other arrangement for a surf session, lesson, rental, board transaction, or other activity is handled directly between the users involved unless Venture Sessions expressly states otherwise in writing.

You are responsible for reviewing and understanding any terms, policies, pricing, cancellation rules, or waivers provided by a coach, business, board owner, or other user before participating in an activity or completing a transaction.

6. Board Listings and Marketplace Activity

The Platform may allow users to list, browse, sell, rent, or inquire about surfboards and related equipment. Venture Sessions does not inspect, verify, own, store, ship, or control listed equipment.

Users are responsible for evaluating equipment condition, safety, ownership, suitability, pricing, pickup arrangements, and any payment terms. Venture Sessions is not responsible for disputes, defects, injuries, losses, or damages arising from board listings or equipment transactions between users.

7. Subscriptions, Fees, and Paid Features

The Platform may offer paid features, subscriptions, commissions, platform fees, or other charges in the future. If paid features are offered, the applicable pricing, billing terms, renewal terms, cancellation process, and any additional terms will be disclosed before you purchase or subscribe.

Unless otherwise stated, any fees paid to Venture Sessions are non-refundable except where required by law.

8. User Content

The Platform may allow you to post, upload, submit, send, or display content, including profile information, photos, videos, posts, comments, reviews, session listings, board listings, inquiries, and other materials ("User Content").

You retain ownership of your User Content. By submitting User Content to the Platform, you grant Venture Sessions a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, publish, distribute, modify for formatting, and otherwise use your User Content as needed to operate, improve, protect, and promote the Platform.

You represent and warrant that you have all rights needed to submit your User Content and that your User Content does not violate these Terms, our Community Guidelines, another person's rights, or applicable law.

9. Community Guidelines and Prohibited Conduct

Your use of the Platform is also governed by our Community Guidelines, which are incorporated into these Terms.

You agree not to misuse the Platform, including by:

• Harassing, threatening, abusing, impersonating, or endangering others.
• Posting hate speech, sexual content involving minors, non-consensual imagery, private information, spam, scams, or illegal content.
• Misrepresenting your identity, qualifications, skill level, services, listings, or affiliation with Venture Sessions.
• Interfering with the Platform's operation, security, or other users' access.
• Circumventing moderation, account restrictions, or safety controls.
• Using the Platform for unlawful, unsafe, fraudulent, or abusive activity.

We may remove content, restrict features, suspend accounts, or terminate accounts that violate these Terms, the Community Guidelines, or applicable law.

10. Safety, Ocean Risk, and Activity Waiver

Surfing and ocean activities involve inherent risks, including serious injury, drowning, changing ocean and weather conditions, collisions, equipment failure, marine life, reefs, rocks, currents, and other hazards.

Venture Sessions does not supervise, control, or guarantee the safety of any activity arranged through the Platform. You are responsible for your own judgment, safety, equipment, swimming ability, physical condition, and decision to participate in any activity.

Participation in surf sessions or other in-water activities arranged through the Platform is also governed by our Activity Waiver and Release, which is incorporated into these Terms.

11. Third-Party Services and Links

The Platform may reference or link to third-party websites, services, providers, businesses, or payment tools. Venture Sessions does not control and is not responsible for third-party services, content, policies, availability, or conduct.

Your use of third-party services may be governed by separate terms and privacy policies.

12. Intellectual Property

The Platform, including its design, software, text, graphics, logos, trademarks, trade names, and other materials, is owned by Venture Sessions or its licensors and is protected by intellectual property laws.

Except as allowed by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Platform or Venture Sessions materials without our prior written permission.

13. Account Deletion, Suspension, and Termination

You may stop using the Platform at any time. You may request or initiate account deletion through the App settings or by contacting us.

We may suspend, restrict, or terminate your account or access to the Platform if we believe you have violated these Terms, violated the Community Guidelines, created risk for other users, exposed Venture Sessions to liability, or used the Platform in an unlawful or abusive way.

After account deletion or termination, some information may be retained where reasonably necessary for legal, safety, security, fraud-prevention, dispute-resolution, backup, or compliance purposes, as described in our Privacy Policy.

14. Disclaimers

The Platform is provided "as is" and "as available." To the maximum extent permitted by law, Venture Sessions disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, safety, and reliability.

Venture Sessions does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components. Venture Sessions does not guarantee any user, provider, session, listing, board, review, rating, location, ocean condition, or activity.

15. Limitation of Liability

To the maximum extent permitted by law, Venture Sessions and its officers, directors, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, personal injury, property damage, or losses arising from your use of or inability to use the Platform.

To the maximum extent permitted by law, Venture Sessions' total liability for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the amount you paid directly to Venture Sessions in the twelve months before the claim arose or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Venture Sessions and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Platform.
• Your User Content.
• Your participation in any session, activity, meetup, board transaction, rental, sale, or interaction arranged through the Platform.
• Your violation of these Terms, the Community Guidelines, the Activity Waiver, or applicable law.
• Your violation of another person's rights.

17. Changes to the Platform or Terms

We may update, suspend, or discontinue any part of the Platform at any time.

We may update these Terms from time to time. When we make material changes, we will provide notice through the Platform, by email, or by other reasonable means. The "Last updated" date above shows when these Terms were last revised. Your continued use of the Platform after updated Terms become effective means you accept the updated Terms.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.

You and Venture Sessions agree to try to resolve disputes informally first by contacting each other. If a dispute cannot be resolved informally, it will be handled in the state or federal courts located in Hawaii, unless applicable law requires otherwise.
